Silverado Investment Inc. ("the Finder") is in the business of finding investment properties and offering education to those interested parties wishing to pursue real estate investment ventures under the following terms:

1. Each Venturer acknowledges that it is responsible for its own due diligence and research regarding its decision to enter into this joint venture agreement or accept any assignment of the rights or responsibilities of Finders. 

2. The Venturers warrant that each has conducted such independent due diligence searches as would a reasonable and prudent investor and has relied on its own independent judgement in accepting this agreement and that it has not relied on any information provided by the Finder. 

3. The Venturers each waives any claim against the Finder with respect to the accuracy or completeness of any information the Finder has provided or has been alleged to have provided and further waives any claim against the Finder for any information not provided or alleged not to have been provided.

4. Finder is not warranting the accuracy of the information and data utilized in this joint venture agreement or the appendices to it nor any information provided by, made available on a website by or otherwise published by or on behalf of the Finder, nor the conclusions or outputs developed by the site.  Any results generated by the such information are intended for illustrative purposes only and not for any other purpose and are based on estimates and other information provided by third parties and future expectations based on assumptions with respect to current market conditions and do not represent or constitute a promise or guarantee that estimates are correct or that actual results will achieve expectations.  Actual results may vary.

5. The Finder has no responsibility or liability of any kind regarding any choices made or not made by any Venturer or any damages, costs, injuries or other consequences incurred by any Venturer, whether direct or consequential, and each Venturer agrees that it shall have no cause of action against the Finder in connection with this joint-venture agreement and that this acknowledgement and agreement may be pleaded as a bar to any action or proceeding against the Finder to which a Venturer may be a party.
